(E).—In exercise of the powers conferred u n d e r second proviso to sub-sect ion (1), sub-sect ion (4), clause () of sub-sect ion (6) of section 149, sub section (3) and (4) of section 150, section 151, sub-sect ion (5) of section 152, section 153, section 154, section 157, section 160, sub-section (1) of section 168 of a n d section 170 read with section 469 of the Companies Act, 2 0 1 3 (18 of 2013), the Central Government hereby m a k e s the following rules further to amend the Compan ies (Appointment and Qualification of Directors) Rules, 2014, namely. -
1. (1) These rules may be called the Companies (Appointment and Qualification of Directors) fourth Amendmen t Rules, 2 0 1 8 .
(2) They shall come into force from 10 t h Ju ly , 2 0 1 8 .
2. In the Companies (Appointment a n d Qualification of Directors) Rules, 2014 ,
3. (i) The rule 11 shall be renumbered a s sub- ru le (1) thereof and after sub - rule) 1) a s so r enumbered , the following sub- ru les shall be inserted, namely:- "(2) The Central Government or Regional Director (Northern Region), or any officer au thor i sed by the Central Government or Regional Director (Northern Region) shall , deactivate the Director Identification Number (DIN), of an individual who does not int imate his par t iculars in e-form DIR-3-KYC within s t ipula ted t ime in accordance with Rule 12A.
(3) The de-activated DIN shall be re-activated only after e-form DIR-3-KYC is filed along with fee a s prescribed unde r Companies (Registration Offices and Fees) Rules, 2014 .
(ii) after rue 12, the following shall be inserted, namely:- "12A Directors KYC:- Every individual who h a s been allotted a Director Identification Number (DIN) as on 3 1 s t March of a financial year a s per these rules shall , submit e-form DIR-3-KYC to the Central Government on or before 30 t h April of immediate next financial year.
Provided t h a t every individual who h a s already been allotted a Director Identification Number (DIN) a s a t 3 1 s t March, 2018 , shall submi t e-form DIR- 3 KYC on or before 3 1 s t August , 2018.";
(iii) In the Annexure after Form DIR-3 the following Form shall be inserted:- FORM N0.DIR-3-KYC [Pursuant to rule 12A of The Companies (Appointment and Qualification of Directors) Rules, 2014] KYC of Directors JHr̂ Hd "H^R Form Language Note- O English O Hindi - All fields marked in • are mandatory fields - In case of Indian nationals, Income-tax Permanent Account Number (Income-tax PAN) is mandatory in all cases even if there is no change in Income-tax PAN. In such cases, director details should be as per Income-tax PAN. In case the details as per Income-tax PAN are incorrect, director/designated partner is advised to first correct the details in Income-tax PAN. Refer instruction kit for details.
