1. (1) इन िनयमᲂ का संिᭃ᳙ नाम कंपनी (िनदेशकᲂ कᳱ िनयुिᲦ और अहᭅताएं) संशोधन िनयम, 2018 है।

(2) ये िनयम तारीख 26 जनवरी, 2018 से ᮧवृᱫ हᲂगे।

2. कंपनी (िनदशेकᲂ कᳱ िनयुिᲦ और अहᭅताएं) िनयम, 2014 मᱶ (इसमᱶ इसके प᳟ात मु᭎य िनयम कहा गया ह)ै, िनयम 9, मᱶ (क) पा᳡ᭅ शीषᭅक के िलए िन᳜िलिखत पा᳡ᭅ शीषᭅक को रखा जाएगा, अथाᭅत:्- “मौजदूा कंपनी मᱶ िनयिुᲦ स ेपवूᭅ िनदशेक पहचान स᭎ंया आवटंन के िलए आवदेन” (ख) उपिनयम (1) के िलए िन᳜िलिखत को रखा जाएगा, अथाᭅत्;- “(1) ᮧ᭜येक आवेदक जो मौजूदा कंपनी मᱶ िनदशेक के ᱨप मᱶ िनयुᲦ होने का इरादा रखता है वह के᭠ᮤीय सरकार को ᮧᱨप डीआईआर- 3 मᱶ इले᭍ᮝॉिनकᳱ ᱨप से िनदशेक पहचान सं᭎या हतेु ऐसी फᳱस के साथ जो कंपनी (कायाᭅलय पंजीकरण और फᳱस) िनयम, 2014 के उपबंध के अधीन दी गई ह ैआवेदन करेगा परंतु यᳰद ᮧ᭭तािवत िनदशेकᲂ के पास ᭭वीकृत िडन (िनदेशक पहचान सं᭎या) नहᱭ है तो तीन अिधकतम िनदशेकᲂ के िववरण ᮧᱨप सं᭎या आईएनसी-32 (᭭पाईस) मᱶ उि᭨लिखत ᳰकए जाएंगे और तीन अिधकतम ᮧ᭭तािवत िनदशेकᲂ को िडन (िनदेशक पहचान सं᭎या) के आवंटन को ᮧᱨप सं᭎या आईएनसी-32 (᭭पाईस) मᱶ अनुमित दी जा सकती ह।ै”; (ग) उपिनयम (3) मᱶ, (1) उप खंड (क) मᱶ, उपखंड (iii) के प᳟ात् िन᳜िलिखत उपखंड अंत:᭭थािपत ᳰकया जाएगा, अथाᭅत्;- 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] “(iiiक) मौजूदा कंपनी मᱶ िनदशेक के ᱨप मᱶ उसके िनयुᲦ ᳰकए जाने का ᮧ᭭ताव करने के िलए बोडᭅ का संक᭨प”;

(ii) खंड (ख) के ᭭थान पर िन᳜िलिखत खंड को रखा जाएगा, अथाᭅत्:- “(ख) ᮧᱨप डीआईआर-3 आवेदक ᳇ारा अपने ᭭वयं के िडिजटल ह᭭ताᭃर ᮧमाण पᮢ का ᮧयोग करते ᱟए ह᭭ताᭃर ᳰकया जाएगा और ᮧ᭭तुत ᳰकया जाएगा और कंपनी सिचव कंपनी के पूणᭅकािलक रोजगार मᱶ या ᮧबंध िनदशेक या िनदशेक या सीईओ या कंपनी का सीएफओ िजसमᱶ आवेदक मौजूदा कंपनी मᱶ िनदशेक के ᱨप मᱶ िनयुᲦ होन ेका इरादा रखता ह ै᳇ारा िडिजटल ᱨप से स᭜यािपत ᳰकया जाएगा”;

3. मूल िनयमᲂ के अनुलᲨक (क) मᱶ ᮧᱨप सं᭎या डीआईआर-3 के ᭭थान पर िन᳜िलिखत ᮧᱨप रखे जाएंगे, अथाᭅत्;- ᮧᱨप डीआईआर-3 [कंपनी अिधिनयम, 2013 कᳱ धारा 153, कंपनी (िनदशेकᲂ कᳱ िनयिुᲦ और अहᭅता) िनयम, 2014 के िनयम 9(1) और सीिमत दािय᭜व भागीदारी िनयम, 2009 के िनयम 10 के अनसुरण मᱶ] ᳰकसी मौजदूा कंपनी मᱶ िनयिुᲦ से पहले िनदेशक पहचान स᭎ंया के आबटंन के िलए आवदेन - *के ᱨप मᱶ अंᳰकत ᭭थानᲂ को भरना अिनवायᭅ ह।ै - भारतीय रा᳦ीयता वालᲂ कᳱ दशा मᱶ आयकर ᭭थायी खाता नाम (आयकर पैन) अिनवायᭅ ह ैतथा ऐसी ि᭭थित मᱶ आवेदक के ᭣यौरे आयकर पैन के अनुसार होने चािहए। आयकर पैन के अनुसार ᭣यौरे सही न होने पर, आवेदक को सलाह दी जाती ह ैᳰक सवᭅᮧथम आयकर पैन मᱶ ᭣यौरᲂ को सही करᱶ। ᭣यौरᲂ के िलए िनदᱷश ᳰकट दखेᱶ। - िवदेशी नागᳯरक होने कᳱ ि᭭थित मᱶ, पासपोटᭅ सं᭎या अिनवायᭅ ह।ै

1. (1) These rules may be called the Companies (Appointment and Qualification of Directors) Amendment Rules,

2018.

(2) They shall come into force from the 26 th of January, 2018.

2. In the Companies (Appointment and Qualification of Directors) Rules, 2014 (hereinafter referred to as the principal rules), in rule 9, (A) for the marginal heading, the following marginal heading shall be substituted, namely:- “Application for allotment of Director Identification Number before appointment in an existing company”; (B) for sub-rule (1), the following shall be substituted, namely:- “ (1) Every applicant, who intends to be appointed as director of an existing company shall make an application electronically in Form DIR-3, to the Central Government for allotment of a Director Identification Number (DIN) along with such fees as provided under the Companies (Registration Offices and Fees) Rules, 2014.

Provided that in case of proposed directors not having approved DIN, the particulars of maximum three directors shall be mentioned in Form No.INC-32 (SPICe) and DIN may be allotted to maximum three proposed directors through Form INC-32 (SPICe)”; (C) in sub-rule (3), (I) In sub-clause (a), after sub-clause (iii), the following sub-clause shall be inserted, namely:- “(iiia) board resolution proposing his appointment as director in an existing company”; (II) for clause (b), the following clause shall be substituted, namely:- 10 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] “(b) Form DIR-3 shall be signed and submitted electronically by the applicant using his or her own Digital Signature Certificate and shall be verified digitally by a company secretary in full time employment of the company or by the managing director or director or CEO or CFO of the company in which the applicant is intended to be appointed as director in an existing company,”.
