1. (1) इन जनर्मक का संजिप्त नाम कंपनी (जनगमन) संिोधन जनर्म, 2020 ह।ै
(2) र् ेजनर्म 23 फरवरी, 2020 से प्रवृत श हकगे।
2. कंपनी (जनगमन) जनर्म, 2014 (जिसे इसमें इसके पश्चात ्उो जनर्म कहा गर्ा ह)ै में, जनर्म 9 के स्ट्र्ान पर जनम्नजलजखत जनर्म रखा िाएगा, अर्ायत् - स.ं 110] नई दिल्ली, मगंलवार, फरवरी 18, 2020/माघ 29, 1941 No. 110] NEW DELHI, TUESDAY, FEBRUARY 18, 2020/MAGHA 29, 1941 सी.जी.-डी.एल.-अ.-22022020-216319 CG-DL-E-22022020-216319 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] “9. नाम का आरिण र्ा नाम का पररवतयन- नाम के आरिण के जलए दकए गए आवेिन www.mca.gov.in पर उपलब्ध वेब सर्वयस के माध्र्म से कंपनी (रजिस्ट्रीकरण कार्ायलर् और फीस) जनर्म, 2014 में र्र्ा-जनर्ियष्ट िलु्क के सार्, 23 फरवरी, 2020 से प्रभावी वेब सेवा स्ट्पाइस+ (कंपनी का इलके्ट्रॉजनक रूप से जनगमन करने हतेु सरलीकृत प्ररूप प्लस : आईएनसी-32), का प्रर्ोग करके दकर्ा िाएगा जिसे रजिस्ट्रार, कें द्रीर् रजिस्ट्रीकरण कें द्र द्वारा, पंद्रह दिनक के भीतर व्यजतक्रमक को िरू करन ेके जलए ऐसा वेब प्ररूप पुनःप्रस्ट्तुत करन ेकी अनुमजत दिए िान ेके पश्चात्, अनुमोदित अर्वा जनरस्ट्त, िैसा भी मामला हो, दकर्ा िा सकता ह।ै”।
3. उो जनर्म में जनर्म 10, 12 जनर्म 19 के उप-जनर्म (1), जनर्म 38 के उप-जनर्मक (1), (2), (3), (4), (7) और
(9) में िहां कहीं िब्ि, अिर, अंक और कोष्ठक आत ेहैं, के स्ट्र्ान पर “प्ररूप संख्र्ा आईएनसी-32 (स्ट्पाइस)” में 23 फरवरी, 2020 से “स्ट्पाइस+ (कंपनी का इलेक्ट्रॉजनक रूप से जनगमन करने हतेु सरलीकृत प्ररूप प्लस: आईएनसी- 32)” िब्ि और अंक रखे िाएंग।े
4. उो जनर्म में, जनर्म 38 के मार्ियनल िीर्यक में, 23 फरवरी, 2020 से िब्ि, कोष्ठक और अिर “इलैक्ट्रोजनक रूप से” के स्ट्र्ान पर िब्ि, कोष्ठक और अिर “इलैक्ट्रेजनक रूप से प्लस (स्ट्पाइस+)” रखे िाएगंे।
5. उो जनर्म में, जनर्म 38क में,
(i) िीर्यक में िब्िक, कोष्ठकक और अिरक “और कमयचारी भजवष्र् जनजध संगठन (ईपीएफओ) रजिस्ट्रीकरण” के स्ट्र्ान पर िब्ि, कोष्ठक और अिर “और कमयचारी भजवष्र् जनजध संगठन (ईपीएफओ) रजिस्ट्रीकरण और व्यवसार् कर रजिस्ट्रीकरण और बैंक खाता खोलना” अंतःस्ट्र्ाजपत दकए िाएगंे।
(ii) अिर “एिीआईएलई” के स्ट्र्ान पर अिर “एिीआईएलई-प्रो” रखे िाएंगे।
(iii) खंड (ग) के पश्चात ्जनम्नजलजखत खंड अंतःस्ट्र्ाजपत दकए िाएंग,े अर्ायत्.- “(ग) 23 फरवरी, 2020 से व्यवसार् कर रजिस्ट्रीकरण प्रभावी। (घ) 23 फरवरी, 2020 से बैंक खाता खोलना प्रभावी।”।
6. उो जनर्म में, अनलुग्नक में, -

1. Short title and commencement.- (1) These rules may be called the Companies (Incorporation) Amendment Rules, 2020.
(2) They shall come into force with effect from the 23 rd February, 2020.
2. In the Companies (Incorporation) Rules, 2014 (hereinafter referred to as the said rules), for rule 9, the following rule shall be substituted, namely:- “9. Reservation of name or change of name.- An application for reservation of name shall be made through the web service available at www.mca.gov.in by using web service SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus: INC-32), and for change of name by using web service RUN (Reserve Unique Name) along with fee as provided in the Companies (Registration Offices and Fees) Rules, 2014, which may either be approved or rejected, as the case may be, by the Registrar, Central Registration Centre after allowing re-submission of such web form within fifteen days for rectification of the defects, if any, with effect from the 23 rd February, 2020.”
3. In the said rules, in rules 10, 12, sub-rule (1) of rule 19, sub-rules (1), (2), (3), (4), (7) and (9) of rule 38, for the words, letters, figures and brackets,, “Form No INC-32 (SPICe), wherever they occur, the letters, brackets, words and figures “SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus: INC-32)” shall be substituted with effect from the 23 rd February, 2020
4. In the said rules, in rule 38, in the marginal heading, for the word, brackets and letters “Electronically (SPICE)”, the words, brackets and letters “Electronically Plus (SPICE+)” shall be substituted with effect from the 23 rd February, 2020.
5. In the said rules, in rule 38A,-
(i) in the marginal heading, for the words, brackets and letters “and Employees’ Provident Fund Organisation (EPFO) Registration”, the words, brackets and letters “,Employees’ Provident Fund Organisation (EPFO) Registration and Profession Tax Registration and Opening of Bank Account” shall be substituted;
(ii) for the letters “AGILE”, the letters “AGILE-PRO”, shall be substituted;
(iii) after clause (c), the following clauses shall be inserted, namely:- “(c) Profession Tax Registration with effect from the 23 rd February, 2020
(d) Opening of Bank Account with effect from 23 rd February, 2020.”.
