PART II—Section 3—Sub-section (i) PUBLISHED BY AUTHORITY ] No. 563] NEW DELHI, FRIDAY, JUNE 30, 2017/ASADHA 9, 1939 कारपोरेट कार्य मतं्रालर् अधिसचूना नई दिल्ली, 29 जून, 2017 सा.का.धन 732(अ).—केन्द्रीर् सरकार, दिवाला और शोिन अक्षमता संधिता, 2016 (2016 का 31) (धजस े इसमें इसके पश्चात् संधिता किा गर्ा ि)ै की िारा 239 की उप िारा (1) के साथ पठित कंपनी अधिधनर्म, 2013 (2013 का 18) की िारा 434 की उप िारा (1) और उप िारा (2) के अिीन प्रित्त शधिर्ों का प्रर्ोग करते हुए कंपनी (लंधित कार्यवाधिर्ों का अंतरण) धनर्म, 2016 का और संशोिन करने के धलए धनम्नधलधित धनर्म िनाती ि,ै अथायत :-
1. संधक्षप्त नाम और प्रारंभ –
(1) इन धनर्मों का संधक्षप्त नाम कंपनी (लंधित कार्यवाधिर्ों का अंतरण) िसूरा संशोिन धनर्म, 2017 ि।ै
(2) अन्द्र्था उपिंधित के धसवार्, र्े राजपत्र में उनके प्रकाशन की तारीि को प्रवृत्त िोंगे।
2. कंपनी (लंधित कार्यवाधिर्ों का अंतरण) धनर्म, 2016 (धजन्द्िें इसमें इसके पश्चात् मूल धनर्म किा गर्ा ि)ै, के धनर्म 4 के स्थान पर धनम्नधलधित धनर्म रिा जाएगा, अथायत् :- “4. स्वधैछिक पठरसमापन स े सिंधंित लधंित कार्यवािी : दकसी कंपनी के स्वैधछिक पठरसमापन संिंिी सभी कार्यवाधिर्ां, इस अधिधनर्म के उपिंिों के अनुसार जारी रिेंगी, जिां अधिधनर्म की िारा 485 की उप िारा (1) के अिीन संकल्प की सूचना धवज्ञापन द्वारा िी गई ि,ै दकन्द्तु 1 अपै्रल, 2017 से पूवय कंपनी का धवघटन निीं दकर्ा गर्ा ि।ै”
3. मूल धनर्मों के, धनर्म 5 के स्थान पर धनम्नधलधित धनर्म रिा जाएगा और 16 जून, 2017 से रिा गर्ा समझा जाएगा, अथायत् :- “5. ऋण का सिंार् करन ेमें असमथयता के आिार पर पठरसमापन की लधंित कार्यवाधिर्ों का अतंरण – 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)]
(1) अधिधनर्म की िारा 433 के िंड (ङ) के अिीन ऋण का संिार् करने में असमथयता के आिार पर दकसी कंपनी के पठरसमापन से संिंधित उच्च न्द्र्ार्ालर् के समक्ष लंधित सभी र्ाधचकाए ंऔर, जिां प्रत्र्थी पर कंपनी (न्द्र्ार्ालर्) धनर्म, 1959 के धनर्म 26 के अिीन र्ाधचका तामील निीं की गई ि,ै इस संधिता के भाग II के अनुसार कंपनी अधिधनर्म, 2013 की िारा 419 की उपिारा (4) के अिीन स्थाधपत अधिकरण की प्रािधेशक अधिकाठरता का प्रर्ोग करने वाली न्द्र्ार्पीि को अंतठरत िो जाएगंी। परंतु र्ाची धनर्म, 7 के अनुसार अंतठरत अधभलेिों का भाग िनन े वाली सूचना से धभन्न सभी सचूनाए,ं जो र्थाधस्थधत संधिता की िारा 7, िारा 8 र्ा िारा 9 के अिीन र्ाधचका ग्रिण दकए जाने के धलए अपेधक्षत ि,ै धजसके अंतगयत प्रस्ताधवत दिवाला व्यवसाधर्क के ब्र्ौरे भी िैं, 15 जुलाई, 2017 तक अधिकरण को प्रस्तुत करेगा, धजसके असफल रिने पर र्ाधचका का उपशमन कर दिर्ा जाएगा :
परंतु र्ि और दक र्दि र्ाधचका का/के कोई पक्षकार इस संधिता के उपिंिों के अनुसार, र्थाधस्थधत, संधिता की िारा 7 र्ा िारा 8 र्ा िारा 9, के अिीन 15 जुलाई, 2017 के पश्चात् नए धसरे से आवेिन फाइल करने के पात्र िोंगे। परन्द्तु र्ि भी दक जिां दकसी कंपनी के पठरसमापन से संिंधित कोई र्ाधचका, इस धनर्म के अिीन अधिकरण को अंतठरत निीं की जाती ि ैऔर उच्च न्द्र्ार्ालर् में जारी रिती ि ैतथा जिा ंअधिधनर्म की िारा 433 के िंड (ङ) के अिीन कोई अन्द्र् र्ाधचका, उसी कंपनी के धवरूद्ध पठरसमापन के धलए, 15 दिसंिर, 2016 को लंधित ि ैविां ऐसी अन्द्र् र्ाधचका, प्रत्र्थी पर र्ाधचका तामील न िोने के िावजूि भी, अधिकरण को अंतठरत निीं की जाएगी।” [फा. सं. 1/5/2016/-सीएल-V] अमरिीप ससंि भाठटर्ा संर्ुि सधचव, ठटप्पण : मूल धनर्म भारत के राजपत्र, असािारण, भाग-2, िंड-3, उप-िंड (i) में अधिसूचना संख्र्ा सा.का.धन.
संख्र्ा 1119(अ), 7 दिसंिर, 2016 द्वारा प्रकाधशत दकए गए थे और तारीि 28 फरवरी, 2017 की अधिसूचना संख्र्ा सा.का.धन. 175(अ) द्वारा इसमें पश्चातवती संशोिन दकए गए MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 29 th June, 2017 GSR 732(E).- In exercise of the powers conferred under sub-sections (1) and (2) of section 434 of the Companies Act, 2013 (18 of 2013) read with sub-section (1) of section 239 of the Insolvency and Bankruptcy Code, 2016 (31 of 2016) (hereinafter referred to as the Code), the Central Government hereby makes the following rules further to amend the Companies (Transfer of Pending Proceedings) Rules, 2016, namely:—
1. Short title and Commencement.— (1) These rules may be called the Companies (Transfer of Pending Proceedings) Second Amendment Rules, 2017.
(2) Save as otherwise provided they shall come into force on the date of their publication in the Official Gazette.
2. In the Companies (Transfer of Pending Proceedings) Rules, 2016 (hereafter referred to as principal rules), for rule 4, the following rule shall be substituted, namely:- “4. Pending proceeding relating to voluntary winding up.- All proceedings relating to voluntary winding up of a company where notice of the resolution by advertisement has been given under sub-section (1) of section 485 of the Act but the company has not been dissolved before the 1 st day of April, 2017 shall continue to be dealt with in accordance with provisions of the Act.”.
3. In the principal rules, for rule 5, the following rule shall be substituted and shall be deemed to have been substituted with effect from the 16 th day of June, 2017, namely:- II (i) 3 “5. Transfer of pending proceedings of Winding up on the ground of inability to pay debts.— (1) All petitions relating to winding up of a company under clause (e) of section 433 of the Act on the ground of inability to pay its debts pending before a High Court, and, where the petition has not been served on the respondent under rule 26 of the Companies (Court) Rules, 1959 shall be transferred to the Bench of the Tribunal established under sub-section (4) of section 419 of the Companies Act, 2013 exercising territorial jurisdiction to be dealt with in accordance with Part II of the Code:
Provided that the petitioner shall submit all information, other than information forming part of the records transferred in accordance with rule 7, required for admission of the petition under sections 7, 8 or 9 of the Code, as the case may be, including details of the proposed insolvency professional to the Tribunal upto 15 th day of July, 2017, failing which the petition shall stand abated:
Provided further that any party or parties to the petitions shall, after the 15 th day of July, 2017, be eligible to file fresh applications under sections 7 or 8 or 9 of the Code, as the case may be, in accordance with the provisions of the Code:
Provided also that where a petition relating to winding up of a company is not transferred to the Tribunal under this rule and remains in the High Court and where there is another petition under clause (e) of section 433 of the Act for winding up against the same company pending as on 15 th December, 2016, such other petition shall not be transferred to the Tribunal, even if the petition has not been served on the respondent.”.
