PART II—Section 3—Sub-section (i) प्राजधकार स ेप्रकाजित PUBLISHED BY AUTHORITY कारपोरेट कार्य मतं्रालर् अजधसचूना नई दिल्ली, 17 अप्रैल, 2023 सा.का.जन. 298(अ).— केन्द्रीर् सरकार, कंपनी अजधजनर्म, 2013 (2013 का 18) की धारा 469 के साथ पठित धारा 248 की उपधारा (1), (2) और (4) द्वारा प्रित्त िजिर्ों का प्रर्ोग करते हुए, कंपनी (कंपनी के रजिस्ट्टर से कंपजनर्ों का नाम हटाना), जनर्म, 2016 का और संिोधन करने के जलए जनम्नजलजखत जनर्म बनाती है, अथायत्:-
1. सजंिप्त नाम और प्रारंम्भ.- (1) इन जनर्मों का संजिप्त नाम कंपनी (कंपनी के रजिस्ट्टर से कंपजनर्ों का नाम हटाना) संिोधन जनर्म, 2023 है।
(2) र्े 01 मई, 2023 को प्रवृत्त होंगे।
2. कंपनी (कंपनी के रजिस्ट्टर से कंपजनर्ों का नाम हटाना) जनर्म, 2016 (जिसे इसमें इसके पश्चात् उि जनर्म कहा गर्ा ह)ै में, जनर्म 4 में,-
(i) उप-जनर्म (1) के स्ट्थान पर, जनम्नजलजखत उप-जनर्म रखा िाएगा, अथायत्:- “(1) धारा 248 की उप-धारा (2) के अधीन एक कंपनी के नाम को हटाने के जलए एक आवेिन प्ररूप सं. एसटीके-2 में रजिस्ट्रार, त्वठरत कारपोरेट समापन प्रसंस्ट्करण केन्द्र को िस हिार रूपर्े के िुल्क के साथ दकर्ा िार्ेगा।”;
(ii) उप-जनर्म (3) में, खंड (iv) का लोप दकर्ा िाएगा;
(iii) उप जनर्म (3) के पश्चात, जनम्नजलजखत अंतःस्ट्थाजपत दकर्ा िाएगा, अथायत्:- “(3क) धारा 396 की उपधारा (1) के अधीन स्ट्थाजपत रजिस्ट्रार, त्वठरत कारपोरेट समापन प्रसंस्ट्करण केन्द्र, धारा 248 के अधीन प्ररूप सं. एसटीके-2 मे दकए गर्े आवेिनों तथा उससे सबंंजधत सभी मामलों के प्रसंस्ट्करण और जनपटान के कार्ायत्मक िेत्राजधकार का प्रर्ोग करने के प्रर्ोिन से कंपजनर्ों के रजिस्ट्रार होंगे, जिनका पूरे भारत में िेत्रीर् अजधकार िेत्र होगा।”।

(ii) आवेर्दन िारा 248 की उप-िारा (1) और (2) और िारा 249 की उप-िारा (1) के अिीन उजल्िखखत शतों के अनुसार ककया गया है;
(iii) कंपनी के ववरुद्ि इस तरह के ननरीक्षण या िांि से उत्पन्न कोई ननरीक्षण या िांि का आरे्दश नहीं टर्दया गया है और न ही ककया गया है या अभी तक नहीं ककया गया है या ककया िाना है और िहां ननरीक्षण या िांि की गई है, ऐसे ननरीक्षण या िांि से उत्पन्न कोई अलभयोिन ककसी भी न्यायािय में िंबबत नहीं है;
(iv) कंपनी के पास न तो कोई सावयिननक िमारालशयां हैं िो बकाया हैं और न ही उसके पुनभुयगतान या उस पर ब्याि पर कोई कंपनी िूक कर रही;
(v) कंपनी के पास कोई बकाया ऋण, सुरक्षक्षत या असुरक्षक्षत नहीं है;
(vi) कंपनी पर आयकर, वैट, उत्पार्द शुल्क, िीएसटी, सेवा कर या कायय िाहे ककसी भी नाम से ज्ञात है, कें द्रीय या ककसी भी राज्य सरकार, ववधिक प्राधिकरण या स्थानीय प्राधिकरण को रे्दय हो ककसी अन्य कर के प्रनत कोई बकाया नहीं है।
(vii) कंपनी की अन्य सभी रे्दयताओं का ननपटान कर टर्दया गया है या उनका ननवयहन कर टर्दया गया है या समाप्त कर टर्दया गया है;
(viii) कंपननयों के रजिस्टर से कंपनी का नाम हटाने और उसके आनुषंधगक या पूरक मामिों से संबंधित अधिननयम की सभी अपेक्षाएं और उसके अंतगयत बनाए गए ननयम का अनुपािन ककया गया है;
(ix) मेरी िानकारी और ववश्वास के अनुसार, इस आवेर्दन में र्दी गई िानकारी और इसके सिंग्नक सही और पूणय हैं;
(x) अपेक्षक्षत शुल्क का भुगतान ककया िाएगा;

ववननदेश कंपनी अधिननयम, 2013 की िारा 248 (2) के अिीन कंपननयों का नाम हटाने के संबंि मेेः

3. मैससय _______________ एतद् द्वारा नोटटस टर्दया िाता है कक कंपनी रजिस्रार को कंपनी अधिननयम, 2013 की िारा 248 (2) के अिीन उपयुयक्त कंपननयों से कंपननयों के रजिस्टर से अपना नाम हटाने के लिए आवेर्दन प्राप्त हुए थे या तो इस आिार पर कक वे अपने ननगमन के एक वषय के भीतर व्यवसाय शुरू करन े में ववफि रहे हैं या इस आिार पर कक कंपनी पवूयवती र्दो ववत्तीय वषों से कोई व्यवसाय या सिंािन नहीं कर रही है तथा कंपनी अधिननयम, 2013 की िारा 455 के अिीन ननजष्िय कंपनी का र्दिाय प्राप्त करने के लिए ऐसी अवधि के भीतर कोई आवेर्दन नही ं ककया है या कंपनी ने ननजष्िय कंपनी की जस्थनत प्राप्त की है / ज्ञापन के अलभर्दाताओ ंने उस अलभर्दान का भुगतान नहीं ककया है िो उन्होंन ेककसी कंपनी के ननगमन के समय भुगतान करन ेका विन ककया था और इस आशय की घोषणा िारा 10क की उपिारा (1) के अिीन इसके ननगमन के एक सौ अस्सी टर्दनों के भीतर र्दायर नही ंकी है/ कोई व्यवसाय या संिािन नही ंकर रही है, िैसा कक िारा 12 की उप-िारा (9) के तहत ककए गए अजस्तत्व िािं के बार्द पता ििा है, ककंत ुयह / वे कंपननयों के रूप में अपना पंिीकरण िारी नहीं रखना िाहत ेहैं और इसलिए, कंपननयों के रजिस्टर से अपने नाम हटान े का अनुरोि ककया।

1. Short title and commencement.- (1) These rules may be called the Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2023.
(2) They shall come into force on 01st May, 2023.
2. In the Companies (Removal of Names of Companies from the Register of Companies) Rules, 2016 (hereafter referred to as the said rules), in rule 4,-
(i) for sub-rule (1), following sub–rule shall be substituted, namely :- “(1) An application for removal of name of a company under sub-section (2) of section 248 shall be made to the Registrar, Centre for Processing Accelerated Corporate Exit in Form No. STK-2 along with fee of ten thousand rupees.”;
(ii) in sub-rule (3), clause (iv) shall be omitted;
(iii) after sub-rule (3) the following shall be inserted, namely :- “(3A) The Registrar, Centre for Processing Accelerated Corporate Exit established under sub-section
(1) of section 396, shall be the Registrar of Companies for the purposes of exercising functional jurisdiction of processing and disposal of applications made in Form No. STK-2 and all matters related thereto under section 248 having territorial jurisdiction all over India.”.
3. (ix) To the best of my knowledge and belief, the information given in this application and its attachments is correct and complete;
(x) The requisite fees would be paid;
(xi) Consent of seventy-five percent members in terms of paid-up share capital has been obtained.
