(1) और ईप धारा (2) के साथ पठित धारा 2 के खंड (31), धारा 73 और धारा 76 द्वारा प्रदत्त िजियों का प्रयोग करत े हुए, कंपनी (जमा की स्ट्वीकृजत) जनयम, 2014 का और संिोधन करन ेके जलए जनम्नजलजखत जनयम बनाती ह,ै ऄथायत्:-
1. संजिप् त नाम और प्रारंभ.- (1) आन जनयमों का संजिप्त नाम कंपनी (जमा की स्ट्वीकृजत) संिोधन जनयम, 2022 ह।ै
(2) य ेराजपत्र में ईनके प्रकािन की तारीख से प्रवृत्त होंगे।

(i) जवदेिी सरकारें; या
(ii) जवदेिी या ऄंतरायष्ट्रीय बैंक;
(iii) बहुपिीय जवत्तीय संस्ट्थाएं;
(iv) जवदेिी सरकार के स्ट्वाजमत्व वाली जवकास जवत्तीय संस्ट्थाएं;

(vi) जवदेिी सहयोगी;

(i) दकसी भी बैंककग कंपनी से ऊण या सुजवधा; या
(ii) भारतीय स्ट्टेट बैंक या ईसके दकसी सहायक बैंक से; या
(iii) बैंककग जवजनयमन ऄजधजनयम, [भाग II—खण् ड 3(i)] भारत का राजपत्र : ऄसाधारण 7 1949 (1949 का 10) की धारा 51 के तहत कें द्र सरकार द्वारा ऄजधसूजचत बैंककग संस्ट्थान से; या
(iv) बैंककग कंपनी (ईपक्रमों का ऄजयन और ऄंतरण) ऄजधजनयम, 1980 (1980 का 40) की धारा 2 के खंड (घ) में यथा पठरभाजषत तदनुूपपी नया बैंक; या
(v) भारतीय ठरज़वय बैंक ऄजधजनयम, 1934 (1934 का 2) की धारा 2 के खंड (ख- ii) में यथा पठरभाजषत सहकारी बैंक से। ऊण या जवत्तीय सहायता के ूपप में प्राप्त कोइ भी राजि स े–
(i) केन्द्र सरकार द्वारा ऄजधसूजचत 8 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] सावयजजनक जवत्तीय संस्ट्थाएं; या
(ii) कोइ भी िेत्रीय जवत्तीय संस्ट्था; या
(iii) बीमा कंपजनयां; या
(iv) भारतीय ठरजवय बैंक ऄजधजनयम, 1934 (1934 का 2) में यथा पठरभाजषत ऄनुसूजचत बैंक। भारतीय ठरज़वय बैंक द्वारा जारी ददिाजनदेिों या ऄजधसूचना के ऄनुसार जारी वाजणजज्यक पत्र या दकसी ऄन्य जलखत जारी करन ेके जखलाफ प्राप्त कोइ भी राजि। दकसी ऄन्य कंपनी से कंपनी द्वारा प्राप्त कोइ भी राजि। दकसी भी प्रजतभूजत के जलए ऄिंदान के जलए ऄजधजनयम के [भाग II—खण् ड 3(i)] भारत का राजपत्र : ऄसाधारण 9 प्रावधानों के ऄनुसार प्राप्त और धाठरत कोइ भी राजि, जजसमें िेयर अवेदन धन या अवंटन लंजबत प्रजतभूजतयों के अवंटन की ददिा में ऄजग्रम िाजमल ह,ै जब तक दक ऐसी राजि केवल के जलए अवेदन की गइ प्रजतभूजतयों के अवंटन पर देय राजि के जखलाफ जवजनयोजजत की जाती ह।ै दकसी ऐसे व्यजि से प्राप्त कोइ भी राजि, जो राजि की प्राजप्त के समय, कंपनी का जनदेिक या दकसी जनजी कंपनी के जनदेिक का ठरश्तेदार था। (ए) कंपनी की ऄमूतय पठरसंपजत्तयों को छोड़कर ऄजधजनयम की ऄनुसूची III में जनर्ददष्ट दकसी भी संपजत्त पर 10 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] पहले िुल्क के साथ पहले िुल्क या चाजय रैंककग पारी पासू द्वारा सुरजित बांड या जडबेंचर के मुदे्द द्वारा जुटाइ गइ कोइ भी राजि; या (बी) बांड या जडबेंचर ऄजनवायय ूपप से दस वषों के भीतर कंपनी के िेयरों में पठरवतयनीय। गैर- पठरवतयनीय जडबेंचरों के मुदे्द द्वारा जुटाइ गइ कोइ भी राजि जो कंपनी की पठरसंपजत्तयों पर प्रभार का गिन नहीं करती ह ैऔर भारतीय प्रजतभूजत और जवजनमय बोडय द्वारा बनाए गए लाग ू जवजनयमों के ऄनुसार मान्यता प्राप्त स्ट्टॉक एक्सचेंज पर सूचीबद्ध होती ह।ै कंपनी के [भाग II—खण् ड 3(i)] भारत का राजपत्र : ऄसाधारण 11 दकसी कमयचारी से प्राप्त कोइ भी राजि जो गैर- ब्याज वाले प्रजतभूजत जमा की प्रकृजत में कंपनी के साथ रोजगार के ऄनुबंध के तहत ऄपन े वार्षषक वेतन से ऄजधक नहीं ह।ै दकसी भी गैर-ब्याज वाली राजि प्राप्त और रस्ट्ट में रखी गइ। कंपनी के व्यवसाय के दौरान या ईसके प्रयोजनों के जलए प्राप्त कोइ भी राजि-
(i) माल की अपूर्षत के जलए ऄजग्रम के ूपप में या सेवाओं के प्रावधान के जलए दकसी भी तरीके से जजम्मेदार ह ै बिते दक आस तरह के ऄजग्रम को माल की अपूर्षत या सेवाओं के प्रावधान के जखलाफ ऐसी 12 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] ऄजग्रम की स्ट्वीकृजत की तारीख से तीन सौ पैंसि ददनों की ऄवजध के भीतर जवजनयोजजत दकया जाता ह।ै
(ii) दकसी समझौते या व्यवस्ट्था के तहत ऄचल संपजत्त के जलए जवचार के संबंध में प्राप्त दकसी भी तरीके से जो भी ऄजग्रम के जलए जजम्मेदार ह,ै बिते दक आस तरह की ऄजग्रम समझौते या व्यवस्ट्था की ितों के ऄनुसार ऐसी संपजत्त के जखलाफ समायोजजत की जाती ह।ै
(iii) माल की अपूर्षत के ऄनुबंध या सेवाओं के प्रावधान के जनष्पादन के जलए प्रजतभूजत जमा के ूपप में। [भाग II—खण् ड 3(i)] भारत का राजपत्र : ऄसाधारण 13
(iv) कंपनी (जमाराजियों की स्ट्वीकृजत) जनयमावली, 2014 के जनयम (2) के ईप-जनयम
(1) के ईप-जनयम
(1) के मद (बी) के तहत कवर दकए गए ईत्पादों को छोड़कर पूंजीगत वस्ट्तुओं की अपूर्षत के जलए दीघयकाजलक पठरयोजनाओं के तहत प्राप्त ऄजग्रम के ूपप में।
(v) जलजखत करार के ऄनुसार वारंटी ऄथवा ऄनुरिण संजवदा के ूपप में भावी सेवाएं प्रदान करने के जलए जवचार करने की ददिा में ऄजग्रम के ूपप में, यदद ऐसी सेवाएं प्रदान करने की ऄवजध सामान्य व्यवसाय पद्धजत के ऄनुसार प्रचजलत 14 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] ऄवजध या ऐसी सेवा की स्ट्वीकृजत की तारीख से, जो भी कम हो, से पांच वषय से ऄजधक नहीं ह।ै
(vi) दकसी िेत्रीय जवजनयामक द्वारा प्राप्त और ऄनुमत ऄजग्रम के ूपप में या कें द्र या राज्य सरकार के जनदेिों के ऄनुसार
(vii) प्रकािन की ओर ऄजभदान के जलए ऄजग्रम के ूपप में, चाह ेवह हप्रट में हो या आलेक्रॉजनक में, ऐसे प्रकािनों की प्राजप्त के जवरुद्ध समायोजजत दकया जाना ह।ै दकसी भी ईधार जवत्तीय संस्ट्थान की ितय के ऄनुसरण में ऄसुरजित ऊणों के माध्यम से कंपनी के [भाग II—खण् ड 3(i)] भारत का राजपत्र : ऄसाधारण 15 प्रमोटरों द्वारा लाइ गइ कोइ भी राजि। ऄजधजनयम की धारा 406 के तहत बनाए गए जनयमों के ऄनुसार जनजध कंपनी द्वारा प्राप्त कोइ भी राजि। जचट फंड ऄजधजनयम, 1982 (1982 का 4) के तहत जचट के संबंध में सदस्ट्यता के माध्यम से प्राप्त कोइ भी राजि। भारतीय प्रजतभूजत और जवजनमय बोडय द्वारा तैयार दकए गए जनयमों के ऄनपुालन में दकसी भी सामूजहक जनवेि योजना के तहत कंपनी द्वारा प्राप्त कोइ भी राजि। दकसी स्ट्टाटयऄप कंपनी द्वारा प्राप्त पच्चीस लाख रुपय े या ईससे ऄजधक की कोइ भी राजि, 16 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] पठरवतयनीय नोट (आदिटी िेयरों में पठरवतयनीय या जारी करने की तारीख से पांच साल से ऄजधक नहीं की ऄवजध के भीतर चुकाने योग्य) के माध्यम से एक ही दकश्त में, दकसी व्यजि से। दकसी कंपनी द्वारा प्राप्त कोइ भी राजि –
(i) वैकजल्पक जनवेि जनजधयां;
(ii) घरेल ू ईद्यम पूंजी जनजधयां
(iii) ऄवसंरचना जनवेि न्यास;
(iv) ठरयल एस्ट्टेट आन्वेस्ट्टमेंट रस्ट्ट;

(v) From a cooperative bank as defined in clause (b-ii) of section 2 of the Reserve Bank of India Act, 1934 (2 of 1934). Any amount received as loan or financial assistance from –

Any amount raised by the issue of nonconvertible debentures not constituting a charge on the assets of the company and listed on recognized stock exchange as per applicable regulations made by Securities and Exchange Board of India. (i) As an advance for supply of goods or provision of services accounted for in any manner whatsoever provided that such advance is appropriated against supply of goods or provision of services within a period of three hundred and sixty-five days from the date of acceptance of such advance.

(xii) clause (c) of sub- rule (1) of rule (2) of the Companies (Acceptance of Deposits) Rules,
2014.
(v) As an advance towards consideration for providing future services in the form of a warranty or maintenance contract as per written agreement, if the period for providing such services does not exceed the period prevalent as per common business practice or five years, from the date of acceptance of such service whichever is less.
