Section 6: Matters in respect of which bye -laws of a society may be made

(1) Every application for registration under sub -section (1) of Section 7 shall be accompanied by bye -laws dealing with the following mat ters : —

(a) the name, address and area of operation of the society;

(b) objects of the society;

(c) the services to be provided to i ts members;

(d) the eligibil i ty for obtaining membership;

(e) the procedure for obtaining membership;

(f) the terms and conditions for continuing as member;

(g) the t ime l imit before which a potential member must seek and obtain membership in order to continue to use the services of the society;

(h) the procedure for withdrawal/transfer of membership;

( i) the procedure for termination and cessation of membership;

( j ) the rights of members;

(k) the fixation of minimum performance required annually of each member vis -a-vis use of services , f inancial commitment and participation in meetings, in order to be el igible to exercise the right of membership including the right of vote;

(1) the consequences of default in payment of any sum due to a member;

(m) the nature and amount of capital , if any, of the society;

(n) the maximum capital to which a single member can subscribe;

(o) the nature and extent of the l iabil ity of the members for the debts contracted by the society;

(p) the sources and types of funds to be raised by the society;

(q) the purposes for which the funds may be applied;

(r) the extent and conditions under which deposits, loans, debentures and other funds may be mobilised;

(s) the conditions and purposes for which State aid and aid from other financial insti tutions may be obtained;

( t) the manner of disposal of surplus;

(u) the consti tutions of var ious funds, reserves and their purposes;

(v) the manner of convening general and other special meetings and quorum thereof;

(w) the frequency of general meetings;

(x) the role of the general body and subjects which shall be dealt with by the general body;

(y) the manner of making or amending byelaws;

(z) the procedure for conducting elections;

(aa) the procedure for conducting election in case the Registrar fails to do so;

(bb) the consti tution of the board of directors;

(cc) el igibil i ty for becoming director;

(dd) conditions for retaining directorship;

(ee) the terms of office of the directors, chairman and office bearers;

(ff) the procedure for removal of Chairman, office bearers, directors and for fi l l ing of vacancies;

(gg) the manner of convening the board meet ings and i ts quorum;

(hh) the frequency of board meetings;

( i i) powers and functions of office bearers including chairman;

( j j) powers and functions of Chief executive;

(kk) penalt ies for acting against the interest of members and for non - fulfi lment of duties by members, directors and staff;

(11) the appointment and role of auditors and procedure for conduct of audit where the society fails to make necessary arrangements and t ime l imit for audi t compliance;

(mm) the authorisation of an officer or officers to sign documents and to insti tute and defend suits and other legal proceedings on behalf of the society;

(nn) the terms on which a society may deal with non -members;

(oo) the terms on which a society may associate with other co - operative societies;

(pp) the terms on which a society may deal with other than cooperative;

(qq) the rights, if any, which the society may confer on any society or other federations and the circumstances under which these rights may be exercised by the federation/s;

(rr) the manner of disposal of funds under l iquidation;

(ss) the accounting year for the society;

( t t) the transfer of shares and interest in the name of a nominee in case of death of a member;

(uu) the procedure of dissolution of the society;

(vv) the restrict ion, if any, on services to non -members;

(ww) to organise self -help groups of people l iving in i ts area and to conduct education and training programmes.

(2) The byelaws of a socie ty may provide for such other matters not specified above, as are incidental to the organisation of the society and the management of i ts business.
