1. (1) इन धनर्मों का संधिप्त नाम कंपनी (जमा की स्वीकृधत) िसूरा संशोिन धनर्म, 2017 ह।ै
(2) र्े धनर्म राजपत्र में प्रकाशन की तारीत से प्रवृत्त होंग।े
2. कंपनी (जमा की स्वीकृधत) धनर्म, 2014 (धजस ेइसमें इसके पश्चात् मूल धनर्म कहा गर्ा ह)ै के धनर्म 3 के उपधनर्म (3) के परंतुक के स्थान पर धनम्नधलधतत रता जाएगा, अथायत:्- “परंतु र्ह दक, कोई धवधनर्ियष्ट आईएफएससी पधललक कंपनी और कोई प्राइवेट कंपनी अपने सिस्र्ों से कुल समाित्त शेर्रपंूजी, मुि आरधिती और प्रधतभूधत प्रीधमर्म ताते के र्ोग के एक सौ प्रधतशत से अधिक िनराधश स्वीकार नहीं करेगी और ऐसी कंपनी इस प्रकार से स्वीकृधत जमा राधश के लर्ौरे प्ररूप डीपीटी-3 में रधजस्रार को फाइल करेगी। स्पष्टीकरण.– इस धनर्म के प्रर्ोजनों के धलए एक धनर्ियष्ट आईएफएससी पधललक कंपनी से ऐसी असूचीबद्ध पधललक कंपनी अधभपे्रत ह ै धजसे धवशेष आर्थयक िेत्र धनर्म, 2006 के साथ पठित धवशेष आर्थयक िेत्र अधिधनर्म, 2005 (2005 का 28) के अिीन स्थाधपत दकसी अनुमोदित बहुसेवा धवशेष आर्थयक िेत्र में धस्थत अंतरायष्ट्रीर् धवत्तीर् सेवा केन्द्र से भारतीर् ठरजवय बैंक र्ा भारतीर् प्रधतभूधत एवं धवधनमर् बोडय र्ा भारतीर् बीमा धवधनर्ामक एवं धवकास प्राधिकरण द्वारा पठरचालन की अनुज्ञधप्त प्राप्त ह:ै परंतु र्ह और दक सिस्र्ों स ेजमा स्वीकार करन ेके संबंि में धनिायठरत अधिकतम सीमा धनम्नधलधतत वगय की प्राइवेट कंपधनर्ों के धलए लागू नहीं होगी, अथायत् :-
(i) प्राइवेट कंपनी जो स्टाटयअप ह,ै के धनगमन की तारीत से पांच वषय के धलए;
(ii) प्राइवेट कंपनी जो धनम्नधलधतत सभी शतें पूरी करती ह,ै अथायत् :- 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] (क) जो दकसी अन्द्र् कंपनी की सहर्ोगी र्ा समनुषंगी कंपनी नहीं है; (त) ऐसी कंपनी के बैंकों र्ा धवत्तीर् संस्थानों र्ा दकसी अन्द्र् कारपोरेट धनकार् से उिार की मात्रा इसकी समाित्त शेर्रपंूजी के िगुुने र्ा पचास करोड़ रुपए, इनमें से जो कम हो, से कम है; तथा (ग) ऐसी कंपनी न ेिारा 73 के अिीन जमा स्वीकृत करत ेसमय़ उि ऋणों के पुनसंिार् में व्यधतक्रम नहीं दकर्ा ह:ै परंतु र्ह भी दक जमा स्वीकार करन ेवाली सभी कंपधनर्ां इस प्रकार स ेस्वीकृत िनराधश के लर्ौरे रधजस्रार को प्रारूप डीपीटी-3 में फाइल करेंगी।”।
3. मूल धनर्मों के उपाबंि में प्रारूप डीपीटी-3 के स्थान पर धनम्नधलधतत रता जाएगा, अथायत्:- प्ररूप डीपीटी-3 जमा की धववरणी [कंपनी (जमा की स्वीकृधत) धनर्म, 2014 के धनर्म 3 और 16 के अनुसरण में] प्ररूप की भाषा O अगं्रजेी O हहिंी प्ररूप भरन ेके धलए धनिशे िेतें

(5) तारीत 11 मई, 2017 की अधिसूचना संख्र्ा सा.का.धन. 454(अ)। MINISTRY OF CORPORATE AFFAIRS NOTIFICATION New Delhi, the 19th September, 2017 G.S.R. 1172(E).—In exercise of the powers conferred by sections 73 and 76 read with sub-section (1) and sub-section (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Acceptance of Deposits) Rules, 2014, namely:—
1. (1) These rules may be called the Companies (Acceptance of Deposits) Second Amendment Rules, 2017.
(2) They shall come into force on the date of their publication in the Official Gazette.
2. In the Companies (Acceptance of Deposits) Rules, 2014 (hereinafter referred to as the principal rules), in rule 3, in sub-rule (3), for the proviso, the following shall be substituted, namely:- “Provided that a Specified IFSC Public company and a private company may accept from its members monies not exceeding one hundred per cent. of aggregate of the paid up share capital, free reserves and securities premium account and such company shall file the details of monies so accepted to the Registrar in Form DPT-3.
Explanation.—For the purpose of this rule, a Specified IFSC Public company means an unlisted public company which is licensed to operate by the Reserve Bank of India or the Securities and Exchange Board of India or the Insurance Regulatory and Development Authority of India from the International Financial Services Centre located in an approved multi services Special Economic Zone set-up under the Special Economic Zones Act, 2005 (28 of 2005) read with the Special Economic Zones Rules, 2006:
Provided further that the maximum limit in respect of deposits to be accepted from members shall not apply to following classes of private companies, namely:—
(i) a private company which is a start-up, for five years from the date of its incorporation;
(ii) a private company which fulfils all of the following conditions, namely:—
(a) which is not an associate or a subsidiary company of any other company;
(b) the borrowings of such a company from banks or financial institutions or any body corporate is less than twice of its paid up share capital or fifty crore rupees, whichever is less ; and
(c) such a company has not defaulted in the repayment of such borrowings subsisting at the time of accepting deposits under section 73:
Provided also that all the companies accepting deposits shall file the details of monies so accepted to the Registrar in Form DPT-3.”.
