7. Meeting of Board ol'Govenrors The Board of Governors meeting of the society will be held atleast once a year, on a date to lre fixec] by the l]oard of Govcrnors. Notice of such meeting with trgencla ot'business to be transacted shall be sent to all the members atleast 7 days prior to the date of meeting. (i) Payments against the bills for various services rendered by the Departments which 1viil be transferred by the:society into the accounts of the conbenied riepartmenB or agency uno pr"pe, accounts would be maintained;
(ii) The fee prescribed by concerned Department of the Government for the, certain categiiribs of service would be _ transferred to the concerned.department fbr depositing the same in the Government Treasury'and;

The'. business of the Society may be usecl as an institution of mechanism for rhe thcilitation of the puniab Mid-Day-Meal society which could be either fulry or partially unded/sponsoied by covt. of India, Govt. Punjab or other Financial Institutions/ Resources. The execution of such projects could be facilitated through the society and any tirnds allocated_for such projects could be utllized through the Punjab State Mid-Day Meal Society" District Level societ"ty for citizen Services or any other spgiety. the society would be paid a service charge for facilitating/ executing such projelts to the tune of 4Yo to 6%o as decided by the Government rromiime to time. The society may accept contributions fiom statutory bodies created under the Act of the parliament or of state Legislature, the Nationai and International organisations, NNs, lndustiies. The contiibution may also be accept fiom private bodies and individuals subject to the approval of its Board of Governors. e) 17 l. No p^art of Income ancl..property of the society shall be paid or transfered, directly or indirectly, by way of profit, to the p.rrom /body who are. or. at any ti're. have been oi shali be members of the society or Board of Governors or to any of them or to unv p*on, claiming through them or any of'them, Operations and Managcrncnt (O & M) of the Socicty i) The required operating, Administrative, Technical and other manpower may be deployed on job work, contract or out sourcing basis frorn casd-to-case baiis.fsr ensuring ttr" ,rncieni operation and managenrent of the scheme. ii) Thus the hiring.of manppwer tbr the-work of the society would not be the liability of the Government and any expenditr.rre on such account ii proposecr to be met out of the funds available with the society. iii) Mostly the . operating staff would be hired by the private partners and no Govt. expenditure would be involved. Also expenditure on any hiring ofr staff by the Society would be met out of the tbnds available with the society. Vesting of the Assets and funds ol'thc Society The Assets and funcl shall vest with the society. i) Assets Registers and Accountsi The society shall maintain assets registers (AR) and Aciounts.,'as L15el''thri, ccjrnrnori corporate practices. ii) The treasurer of lunds: T'he Execuiiu. committee of the Board of Governors headed by the member secretary or any other person authorized by the Executive committee-shall bL treasurer of the funds. i) i) 18 I I I i I I I ; )-) i ll ti fI F' I I l. iii) operation of Bank Account: The Bank Accounts of the Society shall be kept in the name of the Society and shall be operated upon by the Mernber Secretary of the society or any other person authorizefl, b;, tho Executive Com,rnittee or lrember secretary. k) Objects for which the fund of the Sqciety coulcl bc usetl: i) The objecrs of tirncl shalt,,be.aq*app-roved.,by thg,Board of Governors. ii) All decisions tbr utilisation of-t'unds would be recorded in _ Executive Office Order Regisrer (EOOR). iii) Administrative expenses incurred by the Society or Comrnittee such as salary allowances and traveling Allowinces and daily Allowances of the staff can be legitimate charges on the funds of the Punjab State Mid-Day-Meal Society in accordance with the provision of the rules of the Society.

(a) The Member Secretary shall keep or cause to be kept proper accounts of the receipts and pay.ments. income and .*p.nditi re ancl of the property, assets and liabilitieb' of the S6ciry'tri' innual Accounts shall be made up by the end of the jinancial year;
(b) The Accounts of the Society shall be audited and certified by the Auditor General, Punjab in .respect of funds provided bi the Govemment of Punjab and by a charted Accounted appointecl by the Board of Governor or any other competent authority; I Arbitration and Reconciliation

However, the Board of Govemors may appoint a separate Chief Executive Othcer(CEO) of society in which case the t'unctions and responsibilities may be decicled between the CEO and Member Secretary by the Board of Governors. i) Withdrawal of Funds fi.om fhe ,acgounts of ,the Society shall be regulated in a manner to be determined by the Board of Governors or by the Executive Committee. ii) Such withdrawals shall be made by cheques on r-equisition (as the case may be) signed by Member.secr:etary or,an offlcer (s) authorized in this behalf by the Board of Governors or under it!' authority by the Executive Cornmittee.
17. Annual llcport A reporl on the working of the Society every year shall be got prepared by the rnonth of September by the Member Secretary and presented io tt. Govi. of Punjab after the approvalof Bbard of Governors.
18. Suit by and against the Society . The Society may sue or be sued in the name of the Society and the member secretary shall have all powers to defend any suits and sue in the name of the b1'the member secretary. ,r' ., ,' - : , j::'' 19, Powers of the State Governmcnt to give directions to the Society. The State Government in the department of School Education may give the Society such directions in regard to the grants and funds provided b1, the State Government, as in its opinion, ar6 neCeSSary:6i eliijediendfOr i1ari1:ing or-rt the purposes of the t'unds or the Society. It shall be the Outy of ttri Society to comply with such directions
