22.0 Member of the Executive Committee shall cease to be a member, if L he resigns or arc of unsound mind, is insolvent or 1S convicted of a criminal offence involving moral turpitude, or

11. he do not attend three consecutive meeting of the Executive committee with ou L proper leave of the Chairman.

23.0 Resignation of members of the Executive committee shall be tendered to the Chief Executive officer and shall not take effect until it has been accepted by the Chairman on behalf of the Executive Committee.

24.0 Meeting of the Executive Committee shall be presided over by the Chairman or in his absence, by Cl member chosen by all the members present at the meeting.

25.0 One-third of the members of the Executive committee present shall make a quorum at any meeting of the Executive Committee, provided that no quorum shall be necessary in respect of an adjourned meeting.

26.0 Not less than 15 clear days notice of every mecLing of the Executive Committee sh a ll be given to each member of the Executive Committee provided that - a) The Chairman may call an emergency meeting at a notice of three days.

b) Non- receipt of notice of the meeting by any member shall not invalidate the proceedings of the meeting.

c) Proceeding of meeting is to be recorded and placed 1ll the next meeting Ior ratificat.ion,

27.0 The meeting notice the Executive Committee shall state date, time and venue of the meeting to be held and shall, except otherwise provided in these Rules, be under the signature of the Member-Secretary.

28.0 The Executive Committee shall meet as often as necessary but at least once in each quarter of the year.

29.0 Each member of the Executive Committee including the Chairman shall have one vote and if there shall be any equality of votes on any question to be decided by the Executive Committee, the Chairman or in the absence of the Chairman, the rncrn bcr presiding over the meeting, shall, in addition, have a casting vote.

30.0 The Executive Committee shall make cndcavor to achieve the objects of the Agency and to discharge all its functions. The Exccu tivc Committee shall exercise all administrative and financial au thority including powers to create post of all descriptions and make appointments.

31.0 The I~xecutivc Committee shall have under its control the management of ail affairs and funds of the Agency and shall have the authority to exercise all powers of i.hc Agencies.

32.0 The Executive Committee shall have the power to enter into contracts, agreements, arrangement with the other public or private organizations or individuals for further reference of its objects.

33.0 The Executive Cornrn it tcc shall have powers for securing and accepting or providing endowments, grant-in-aids, donations or gifts to or from the Agency on mutually agreed terms and conditions provided that conditions of such gr anrs-in-uids, donations, gifts, shall not be inconsistent or conflict with the object of the Agency or with the provision of these Rules.

34.0 The Exccu tivc Committee shall have the power to take over and ucqu irc by purchase, gill, or otherwise from C~OVernlTlellt and other public bodies or private mdivid u als, movable and immovnblr properties or other funds together with any attendant obligations and engagements not inconsistent with the objects of the Agency anrl the prov.sioris of the Rules.

35.0 The F':XCCLJlivc Committer shall helve power to undertake or awnrd contract for consLruction of building required for use of the Agcncy.

36.0 Subject to the provisions of the Societies Rcgist.ratio ns Act [No. XXVI of I C)f) 1 (here - in after called the AcL) the Exccu Live Committee shall have the power to sell or lease any movable or immovable property of the Agency, provided, however that no assets of the Agency created out of Government grallts shall be disposed or without the prior approval of the Government, cur u mbcrcd or u t.ilizcd for purpose other than those for which the grant was Si.1 :1 et ii) ncd .

38.0 The Executive Commit.Lee may by resolution, appoint advisory agency or other special cornrn ittccs for such purposes and with such powers as the Exccu Live Committee may Lhink fiL and Exccu Live Com m it.tcc may also dissolve such committees and J\dvisory Bodies, set up by it.

39.0 The Exccu tivc Corn mittcc may delegate the Chairman, the Chief Exccu t ivc officer or any other officer of the J\gency such admin istrativc and financial powers arid impose such duties as it deems proper and also prescribe limitation s wit h in which t l ic powcr s and du tics arc to exercised or discharged.

40.0 The Executive Committee shall have powers to frame and amend Regulations, not inconsistent with these l;Zules, for effective administration and management of the affair s of the J\gency and without prejudice Lo the generaliLy or the provision, such I<egulations may provide for the following 111(-\Lt cr s:

i) Service matter's pcr ta inirig to officers and staff including creation of po st.s, qualifications, selection procedure, service conditions, pay and emoluments discipline and control Rules.

ii) Important financial aspects including formulation of budget, purchase procedure, delegation of financial power, investment of funds, maintenance of accounts and audit, TA and DA Rules, ere and provided that for the purpose of this Rule, following guidelines would be kept in view while creating the posts and Iorrnu lating the .scrvicc and Finnricial l<l~gLlI:·lli()ns :

41.0 Subject to the specific directions of the Agency and provisions in the I~ules and Regulations to be framed hereunder, the Executive Committee shall have full power to frame and amend by-laws for the conduct of activities of L1w Agency for .achicvcrncnt of iLS objects and these by-laws (inter alia) include matters relating to :

a) Conduct of business of Agency, Executive CommiLLee and other committees and Sub-Committees b) Grant-in-aid to voluntary agencies c) I<eview and decide revision of 1\1 charges to be collected d) Involvement of individuals and contractual agreement with them e) Such other things as may necessary for implementation of project

42.0 T he Principal Secretary/Secretary, Animal Resources Development Department, Covernment uf Tri pu ra shall be Ex-officio Chairman of the Lxccu tivc Corn m it tee. 43.0 The Chief Exccu tivc officer shall be the Principal Executive Officer of the Agency and shall have full executive and financial powers of the Agency. He sh a ll be responsible for proper administration of the affairs, management of Iu nd s of the Agency and implementation of various activities of the project in a mission mode. For effective discharge of the functions he shall have power to -- a) Constitute Steering group for each of the programme and functional areas.

b) Con stit.u tc a task force, comprising heads of the steering groups which would function as Cl cohesive learn for achievement of the object of the project.

c] Access In such su pcrvr sion and disciplinary control as may be ncccs sary.

d) Co-ordinate and exercise general su pcrvisron over the activities of the Agency including its Branches and units.

cl Conduct meeting of the Agency and its Executive Com mit.tcc and keep a record of proceedings of these meeting in accordance with these rules and f) Discharge such other Iu notions as may be assigned to him by the Executive Com m iu.cc in furtherance of the objects of the Agency g) Shall sign, on behalf of the J\gcncy countersigned by the next senior officer of the Agency, all contracts, agreements and engagements of the J\gency.

44.0 SOluces of Funds:

'-' • Gra nt-iri-aid made by the Central Govcr n mcnt and the State Government for furtherance of the object of the Agency.

• Contributions from other sources.

• Income from the act.ivitics of the Agency (Charges to be collected for performing AI ) • Receipts from other sources; and • Grants, donations or assistance of any kind from Foreign Govcr n nu-n is and' other external agencies with prior approval of the Central Government.

• Gr an t s-iri-Aid made by the State Govt. to the Agency shall be routed through the Department of Animal Resources Development.

45.0 All funds of the Agency shall be kept in onc or more accou nt s of Nationalized Banks and not be withdrawn except through a cheque signed by such officer ClS may be- duly empowered in this behalf, by the Executive Committee.

46.0 The bankers of the board shall be any Nationalized Bank. !\ll Iuud s of the board shall be paid into the board's account and shall be wit hd ruwn against cheques signed as under:

i) If the amount exceeds 5 lakh, by any two of the following: Chairman, CSO, or an officer named by the Exccu tivc Commillee for this purpose.

ii) If the a mo u n t is below 5 la k h , by UlC' CSO and anyone of the officers named by the Exucu tivc Committee for this purpose.

iii) Cheque up lo OIIC la k h , by the CL~O.

47.0 The Agency shall maintain proper accounts and other relevant records and proper annual accounts comprising the receipts and payment account statement of assets and liabilities in such forms as may be prescribed by the Register of the societies of the Stale Govern merit in keeping with the Rules in force under the Societies Registration Act in force in the Stale.

i) The Accounts or the /\gl:11Cy shall be audited annually by an inde-pendent Chartered Accountant Firm in accordance with the provisions of the;

Societies I~egislration /\ct of the State.

ii) The audited accounts along with its observations shall be submitted to the Gcricra l Body of the Agency.

iii) The accounts of the Agency shall also be subject to Audit provisions of the Comptroller and Auditor Genera! (Duties, Power and conditions of Service /\ct).

iv) The 1300ks of account and other statutory !3ooks shall be kept open at the registered office and shall be open for inspection by the mem bcrs Cl t such time and place as the Executive Committee directs on Cl written request made by any member of the Agency.

v) The Accou ntirig year of the Agency shall be from 1st day of April of each year 10 :31 Si cI:r)' of March of tile Iollowing year.

48.0 The a n n u a l report on the wurking of the Agency and t h« work undertaken by it during the year together with balance sheet and audited accounts shall be prepared by the Executive Committee. A draft of the annual report shall be placed before the Governing Body for consideration.

50.0 If the Agency needs to be dissolved, it sh a ll be clone as per provision laid down under section 24 of the Societies Registration Act, as applicable in the Slate, Tripura.

52.0 The Agenc shall have a common seal of such make and design approved by the Executive Committee, may approve.
