(1) A special general meeting of any co-operative society may be called at any time by a majority of the directors of the board—

(a) on the requisition in writing of one-third of the members of the co-operative society or the delegates, where there are delegates; or

(b) at the direction of the Registrar.

(2) The special general meeting referred to in sub-section (1) shall be called within two months from the date of the requisition or the direction, as the case may be.

(3) The Registrar or any person authorised by him in this behalf may, by an order in writing, call at any time a special general meeting of any cooperative society and shall call such a meeting upon refusal or failure by a majority of directors of the board to call a special general meeting under sub-section (1).

(4) All expenditure incurred in connection with a special general meeting called under sub-section (3) shall be met out of the funds of the co-operative society or by such director or directors of the board as are in the opinion of the Registrar responsible for the refusal or failure to call the special general meeting under sub-section (1).

(5) When the majority of the directors of a board refuses or fails without reasonable cause to call a special general meeting under subsection (1), the Registrar may, after giving all the directors an opportunity of being heard, by an order in writing, declare such of the directors as are found responsible for such refusal or failure to be disqualified for continuing in office and for being directors of the board for such period not exceeding three years, as may be specified in the order.
