Amendment of Preamble.
An Act to amend the Engel India Machines and Tools Limited (Acquisition and Transfer of Undertakings) Act, 1986.
WHEREAS it is expedient to amend the Engel India Machines and Tools Limited (Acquisition and Transfer of Undertakings) Act. 1986. for the purposes and in the manner hereinafter appearing:
It is hereby enacted in the Fifty-sixth Year of the Republic of India, by the Legislature of West Bengal, as follows:-
1. (1) This Act may be called the Engel India Machines and Tools Limited (Acquisition and Transfer of Undertakings) (Amendment) Act, 2005.
(2) It shall be deemed to have come into force on the 9th day of February, 2005.
2. In the Engel India Machines and Tools Limited (Acquisition and Transfer of Undertakings) Act. 1986 (hereinafter referred to as the principal Act). for the words "Government company", wherever they occur, the word "company" shall be substituted.
3. In the principal Act, for the fourth paragraph to the Preamble, the following paragraph shall be substituted:— "AND WHEREAS for the purpose of reconstructing and rehabilitating the undertakings of the Engel India Machines and Tools Limited. it is necessary to acquire. and to provide for transfer to an existing or a new company of, the undertakings of the Company and the right, title and interest of the Company in relation to its undertakings;".

(Sections 4, 5.)
Amendment of 4. In section 2 of the principal Act,— section 2.
(a) for clause (e), the following clause shall be substituted :— `(e) "existing company" means a company as defined in the Companies Act, 1 of 1956.
1956, which is carrying on business on the appointed day;';
(b) for clause (0, the following clause shall be substituted :— `(f) "new company" means a company as defined in the Companies Act, 1956, formed and registered on or after the appointed day;'.
Repeal and 5. (1) The Engel India Machines and Tools Limited (Acquisition and Transfer of West Ben. Ord. 1 saving. Undertakings) (Amendment) Ordinance, 2005, is hereby repealed. of 2005.
(2) Notwithstanding such repeal, anything done or any action taken under the principal Act as amended by the said Ordinance shall be deemed to have been validly done or taken under the principal Act as amended by this Act.
